Version 6 · Last updated October 29, 2026 · effective November 1, 2026
These Service Terms (the “Terms”) govern all services that PL Signature Holding LLC, a California limited liability company doing business as P&L Consultings (“we,” “us”), provides to a business customer (“you”). Each purchase or signed order under these Terms is an “Order.” Together, the Order and these Terms are the entire agreement between you and us (the “Agreement”).
Our services are offered exclusively to businesses that act in the course of their trade or profession, not to consumers. By placing an Order you confirm that you do so on behalf of a business and that you are authorized to bind it.
Online orders. For fixed-price services (audits, optimizations, account-health support, account setup) you place an Order on our payment page. The Agreement is formed when you accept these Terms by ticking the checkbox and your payment is completed. We then send an order confirmation by email that names the service, the price, and the version of these Terms that applies.
Signed orders. For the Partnership and PPC Management, we send an order form stating the service, the scope (for example, the catalog size), the fees, and the start date. The Agreement is formed when both parties sign the order form, including by electronic signature.
Precedence. If an Order and these Terms conflict, the Order prevails for that Order. The descriptions and prices on our website are an invitation to order, not a binding offer.
Quick-Score. You can request a Quick-Score free of charge through the form on our website, once per brand. There is no claim to a Quick-Score being prepared. A Quick-Score is a non-binding snapshot based on public data at the time it is prepared.
The content of each service is the description on pnlconsultings.com at the time of your Order, or the description in the signed order form. In summary:
Optimizations. An Optimization includes the corresponding audit. One round of corrections is included in the fixed price; further changes are additional work under Section 6. You choose how the texts are put live: (a) we deliver the texts and a ready-made upload file, and you upload them yourself; or (b) for an additional fee per ASIN, we upload them for you through an additional user access that you grant under Section 5, never with your own login credentials. In case (b), you approve the texts before we upload them, the access is removed when the work is complete, and you remain responsible for the content of your listing and its compliance with Amazon’s policies and the law.
Other languages. Texts in languages other than English and German are machine-generated and are not linguistically reviewed by us. We mark them as such in the deliverable. You review them before you use them. Subject to the last paragraph of Section 13, we are not liable for linguistic errors in such texts. We upload texts in such languages only after your approval in writing (email suffices).
Account-health support. A free initial review in an appointment creates no claim that we accept the case. You choose whether you submit to Amazon yourself or we submit after you have approved the text in writing. You are responsible for the accuracy and completeness of your information and documents (Section 5). We give no guarantee; Amazon decides (Section 4). Account-health support is not legal advice.
Account setup. Registration takes place exclusively on your device and in your network. You enter your data yourself; we never receive your login credentials. The identity and video verification is carried out by the account holder personally. For a new account, the setup includes Amazon Brand Registry, which requires a registered trademark or a filed trademark application. Extending an account to further marketplaces or regions is charged at the fixed price stated for it plus any additional hours under Section 6. We do not provide tax advice.
Partnership. The meetings are those stated in the order form: a weekly stand-up, a monthly strategy call, and the trainings agreed there. A dedicated analytics dashboard is not part of the services owed until we make it available to you; until then, its absence does not entitle you to a reduction of the fee. The fee is stated in the order form.
PPC Management. A target ACoS or TACoS agreed in the order form is a benchmark for our work, not a guarantee. You pay the advertising budget directly to Amazon. There is no minimum advertising budget.
Limits. We provide Amazon marketplace services only. We do not provide legal, tax, or accounting advice, and our financial analyses cover your Amazon business only, not your company as a whole. We may use AI tools and authorized contractors to perform the services; we review all results before delivery and remain responsible for the work of our contractors.
Amazon changes. Amazon may change its policies, programs, interfaces, and tools at any time. Such changes are not a defect in our services; where they affect a service, we may adapt it in a reasonable way and will tell you.
Rankings, sales, recommendations by Amazon’s AI assistant, and every decision on listings, restrictions, suspensions, and reinstatements are made by Amazon or by the market, not by us. A Quick-Score is a non-binding snapshot, and a target ACoS or TACoS is a benchmark (Section 3). We owe careful, professional work, not a particular result. Only the money-back promise in Section 8 is a guarantee.
Where an Order states a number of hours (account-health support, account setup), the fixed price covers our active working time up to that number. We record our time and send a time statement on completion. If more time is needed, we tell you in advance; additional hours are charged at the hourly rate in the Order only if you approve them in writing (email suffices), in 30-minute increments, and are paid in advance in blocks of the approved hours. The same applies to work beyond the round of corrections included in an Optimization (Section 3).
Cancellation before work begins. You may cancel a one-off Order by email until we begin work. We refund the fee less a processing fee of 15%. Work begins when we have received the materials needed and have told you so.
After work begins, one-off fees are not refundable, except as follows.
Money-back promise (SEO Audit). If our SEO Audit identifies fewer than 3 concrete measures, each based on a documented gap, for the audited ASIN, we refund the full fee. We say so in the audit itself; you do not need to ask.
Audit credit. An Optimization includes the corresponding audit. If you have bought an audit separately and order an Optimization for the same ASIN within 30 days after we deliver the audit, we credit the audit fee against the fee for the Optimization.
SEO and AEO Optimization for the same ASIN. The AEO Optimization includes the work of the SEO Optimization. If you order both for the same ASIN, we inform you and refund the fee for the SEO Optimization.
Upon full payment, you receive the unrestricted, perpetual right to use the deliverables we create for you (texts, reports, plans, images). We keep all rights in our methods, scoring models, templates, software, and know-how, including our analytics workspace, which you may use only during the term of the Partnership.
References. We may name you as a client and show your company name and logo on our website and in our sales materials, unless you object. You can object at any time by email or in writing; we then remove the reference within 30 days. We publish results, figures, case studies, or quotes concerning your business only with your express prior consent.
Each party keeps confidential all non-public information of the other party that it receives in connection with the Agreement and uses it only to perform the Agreement. This obligation continues for 3 years after the Agreement ends, and without time limit for trade secrets and personal data. It does not apply to information that is or becomes public without breach, that the receiving party already had, or that must be disclosed by law.
Our Privacy Policy at pnlconsultings.com/privacy describes how we handle personal data. Where we process personal data on your behalf in performing the services, the Data Processing Terms in Annex 1 apply and form part of the Agreement.
Buyer data. We work without Amazon buyer personal data. We do not download, export, or store it unless you instruct us in writing to do so for a specific task concerning your own orders; in that case we process it only for that task and delete it when the task is complete.
After the end. For the Partnership, where our analytics workspace has been made available to you, you keep read access to your data in it for 30 days after the Agreement ends; afterwards we delete the data. Providing access fulfills our obligation to return data. A transfer of data to another consultant or agency is a separate, chargeable service.
To the extent permitted by law: (a) we are not liable for lost profits, lost sales, indirect or consequential damages, or for decisions, restrictions, or suspensions by Amazon; and (b) our total liability under the Agreement is limited to the fees paid for the affected one-off Order or, for recurring services, the fees paid in the 3 months before the event giving rise to the claim.
Before any other remedy, you must give us written notice of a defect and the opportunity to correct it within a reasonable time. We are not liable for content or changes that you approved before publication. Claims against us must be asserted within one year after you become aware of them, and in any case within two years after the service was performed.
These limits do not apply to damage caused intentionally or by gross negligence, to injury to life, body, or health, or where liability cannot be limited by law.
Notices under the Agreement may be sent by email to the addresses given in the Order; ours is office@pnlconsultings.com. Operational notices — for example changes of sub-processors, maintenance, security information, and changes to these Terms — are part of the service and are sent to the email address you gave. They are not marketing.
New versions of these Terms apply to Orders placed after their publication. For recurring services, we announce changes at least 30 days in advance by email; if you object, you may terminate the affected service at the date the change takes effect, without cost.
The Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The exclusive place of jurisdiction is Los Angeles County, California. If these Terms are provided in another language, the English version prevails.
If a provision is invalid, the remainder of the Agreement remains in effect. Neither party is liable for delays caused by events beyond its reasonable control. You may assign the Agreement only with our written consent; we may assign it to a successor of our business. Changes to an Order require text form (email suffices). Sections 7, 8, 10 to 13, 16, and Annex 1 continue to apply after the Agreement ends, as far as their purpose requires.
These terms apply where we process personal data on your behalf (“Customer Data”) as your processor, including under Article 28 of the EU General Data Protection Regulation (GDPR).
